These terms of service ("Terms") are an agreement between Servexi LLC, a Wyoming limited liability company ("Servexi," "we," "us"), and the business or person that uses our websites or software, including the Exterminator Suite web and mobile apps (the "Services"). If you use the Services for a company, you agree to these Terms on that company's behalf and confirm you have authority to do so. "You" means that company and its authorized users.
1. Accounts
You must give accurate information when you sign up and keep it up to date. You're responsible for keeping login credentials secure, for everything that happens under your account, and for the users you invite. Tell us right away at support@servexi.io if you believe your account has been compromised. You must be at least 18 to create an account.
2. Free trials and subscriptions
- We may offer a free trial. When it ends, continued use requires a paid subscription. If you don't subscribe, we may limit or suspend the account.
- Paid plans and add-ons, such as texting and message packs, are billed in advance at the prices shown when you subscribe or buy. Prepaid message packs that are set to auto-renew will renew automatically until you turn auto-renew off.
- Subscriptions renew automatically each billing period until canceled. You can cancel any time, and cancellation takes effect at the end of the current period.
- Except where the law requires otherwise, fees are non-refundable, including for partial periods and unused messages.
- We may change prices with at least 30 days' notice. New prices apply at your next renewal.
- You're responsible for applicable taxes.
3. Your data
You own the data you and your users put into the Services, including information about your customers ("Your Data"). You give us permission to host, process, and display Your Data only as needed to provide, secure, and support the Services, and as described in our privacy policy. You're responsible for having the right to collect and use Your Data, including getting any notices and consents the law requires. You can export Your Data while your account is active.
4. Text messages and communications
If you use the Services to text, call, or email your customers, you agree to:
- get proper consent before sending messages and keep records of that consent;
- follow all laws and carrier rules that apply, including the Telephone Consumer Protection Act, CAN-SPAM, and the requirements of carrier registration programs;
- honor opt-out requests such as STOP right away; and
- not send spam, marketing without consent, or unlawful, deceptive, or harmful content.
We may suspend messaging on an account that violates these rules or that a carrier flags.
5. Acceptable use
You agree not to:
- break the law or violate anyone's rights while using the Services;
- upload malware, or try to break, overload, or get around the security of the Services;
- access another customer's data or try to gain unauthorized access to any system;
- copy, resell, or reverse engineer the Services, except where the law allows it; or
- use the Services to build a competing product.
6. Pesticide and compliance records
The Services help you record treatments, products, inspections, and other compliance information. You remain responsible for the accuracy of what your team records, for following product labels and the law, and for meeting your licensing and reporting obligations. The Services are a record-keeping tool and do not provide legal, regulatory, or safety advice.
7. Third-party services
The Services may work with third-party products, such as payment processors, email providers, and app stores. Your use of those products is governed by their own terms, and we're not responsible for them.
8. Our property
Servexi owns the Services, including the software, designs, and the Servexi, Exterminator Suite, Lawn Suite, and HVAC Suite names and logos. These Terms give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. If you send us feedback, we may use it without any obligation to you.
9. Changes and availability
We're always improving the Services and may add, change, or remove features. We aim to keep the Services available but don't promise they'll be uninterrupted or error-free, and we may perform maintenance from time to time.
10. Suspension and termination
You can stop using the Services and cancel at any time. We may suspend or end your access if you materially break these Terms, don't pay, or create a risk to the Services or others. After termination, you can request an export of Your Data for 30 days, after which we may delete it as described in our privacy policy.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, SERVEXI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, SERVEXI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SERVEXI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
13. Indemnification
You agree to defend and hold Servexi harmless from claims, losses, and costs, including reasonable attorneys' fees, that arise from Your Data, your messages to your customers, or your violation of these Terms or the law.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Wyoming, and both parties agree to those courts' jurisdiction.
15. Changes to these Terms
We may update these Terms. If we make material changes, we'll update the effective date and notify account owners at least 30 days before the changes take effect. Continuing to use the Services after that means you accept the updated Terms.
16. Mobile apps
If you download our mobile apps from the Apple App Store or Google Play, these Terms apply to that use. Apple and Google are not parties to these Terms and have no responsibility for the apps or their support. Apple and its subsidiaries are third-party beneficiaries of these Terms for apps downloaded from the App Store and may enforce them.
17. General
These Terms and our privacy policy are the whole agreement between you and Servexi about the Services. If any part is found unenforceable, the rest stays in effect. Not enforcing a right isn't a waiver. You can't transfer these Terms without our written consent. We may transfer them in a merger, acquisition, or sale of assets.
